These Terms and Conditions ("Terms") govern your use of the TalkWebsite website at talkwebsite.com and any services provided by TalkWebsite ("we," "our," or "us"), a sole proprietorship operated by Thomas Popescu in Portland, Oregon. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our site or services.
1. Services
TalkWebsite provides done-for-you website design, lead capture systems, and related digital marketing services for roofing contractors and home service businesses in the Portland metro area. Our current core offering — "The Fully-Booked Roofer" — includes website design, a 24/7 booking system, missed-call text-back, and ongoing support.
We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice. We do not guarantee any specific business outcomes beyond those expressly stated in a signed service agreement.
2. Service Availability
Our services are offered on a non-exclusive basis. We may work with multiple roofing and home-service businesses, including businesses operating in the same area. We do not promise geographic or territorial exclusivity. Your website, brand, content, and customer data remain yours alone and are never shared with another client.
3. Fees and Payment
Our standard pricing is $0 to start — no setup fee — plus $500 per month for ongoing service, with a 3-month minimum commitment, after which the engagement continues month-to-month. Your website is built and provided free as part of getting started; the monthly fee covers the system that books your jobs (24/7 booking chat, missed-call text-back, instant lead response, the review engine, Google Business Profile management, hosting, maintenance, and support). Specific fees for your engagement are confirmed in writing before any work begins.
- Setup fee: None. There is no upfront or one-time fee to begin, and your website is provided free.
- Monthly retainer: $500 per month, billed on the same day each month, with a 3-month minimum commitment. Failure to pay within 14 days of the due date may result in suspension of services.
- Late payments: Accounts more than 30 days past due may incur a late fee of 1.5% per month on the outstanding balance.
All fees are in US dollars. We accept payment via methods specified in your service agreement.
4. The Preview Guarantee
We build an initial site preview before collecting any payment. You review the preview and only begin the monthly service if you choose to move forward. If you do not approve the preview, you owe nothing and we part ways. This guarantee applies to the preview stage only — it does not extend to post-launch disputes unrelated to deliverable quality.
5. Scope of Results
We perform our services with professional effort and care to build and operate a website and lead system designed to generate appointments for you. We do not guarantee any specific number of appointments, leads, sales, or revenue — results depend on factors outside our control, including your market and demand, how quickly you respond to leads, and your own pricing and sales process. The specific terms of our engagement are set out in your signed service agreement.
6. Cancellation and Refunds
- Minimum commitment: The monthly service carries a 3-month minimum. A cancellation takes effect after the minimum commitment has been met.
- Monthly retainer: After the minimum commitment, you may cancel with 30 days' written notice. You will not be charged for months following the effective cancellation date. No partial-month refunds are issued.
- Domain and hosting: Any third-party costs (domain registration, hosting fees) paid on your behalf are non-refundable.
7. Intellectual Property
Your content: Any logos, photos, copy, or brand materials you provide to us remain your property. You grant us a license to use them solely for building and maintaining your site.
Our work product: Once your site is launched and your service is active, you own the final delivered website design and all custom code created specifically for your project.
Our tools and frameworks: Proprietary systems, templates, methodologies, and tooling we use to build sites remain our property and are licensed to you for use during your engagement. They do not transfer upon cancellation.
Portfolio and case study rights: By engaging TalkWebsite, you grant us the right to display your business name, website, screenshots, and general project outcomes (for example, "a Portland roofer we built a booking site for") in our portfolio, website, marketing materials, case studies, social media, and any other promotional content, in perpetuity. If you prefer your business to remain anonymous in case studies, notify us in writing within 30 days of signing and we will anonymize specific identifying details while retaining the right to reference aggregate outcomes. This right survives termination of the engagement.
8. Client Responsibilities
To receive the full benefit of our services, you agree to:
- Provide accurate business information, photos, and content in a timely manner
- Respond to leads and booked appointments promptly
- Maintain an active, verified Google Business Profile
- Notify us of any changes to your service area, contact details, or business operations
- Not make unauthorized changes to the website that could affect functionality or SEO
Failure to meet these responsibilities may delay your results or limit the effectiveness of the services.
9. Limitation of Liability
To the fullest extent permitted by law, TalkWebsite shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our services, including but not limited to lost revenue, lost leads, or business interruption. Our total liability for any claim related to our services shall not exceed the total fees paid by you in the three months preceding the claim.
We are not responsible for third-party service outages (hosting, scheduling tools, Google) that affect your site's performance.
10. Confidentiality
Both parties agree to keep confidential any non-public business information shared during the engagement. This includes pricing, strategy, client lists, and proprietary methods. This obligation survives termination of the service relationship.
11. Governing Law
These Terms are governed by the laws of the State of Oregon, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of Multnomah County, Oregon, and both parties consent to personal jurisdiction there.
12. Dispute Resolution
Before initiating any legal action, both parties agree to attempt to resolve disputes through good-faith negotiation for at least 30 days. If negotiation fails, disputes may be submitted to binding arbitration under the rules of the American Arbitration Association, unless either party seeks injunctive relief.
13. Changes to These Terms
We may update these Terms from time to time. We will notify active clients of material changes by email. Continued use of our services after changes take effect constitutes acceptance of the updated Terms. The "Last updated" date at the top of this page reflects the most recent revision.
